Agreement Overview
This agreement is entered into by and between ARCX TRAINING LTD, a company registered in England and Wales under number 13104667 trading as arcX (hereafter 'Licensor'), whose registered main office is 86-90 Paul Street, London, EC2A 4NE, and You (hereafter 'Licensee').
Licensee's use, and any Authorised User's use, of Licensor's arcX Internet site (the 'Site') or any of the material or service offerings or other services offered on the Site including any off-line or third party components, data, lists, reports, dashboards, templates or services (collectively, the 'Services') is subject to these Terms of Use (this 'Agreement'). If Licensee does not agree to this Agreement, Licensee agrees not to use or access the Services or the Site.

Service Communications
1.1 Licensee understands and agrees that the Services may include communications such as service announcements, marketing communications and administrative messages from Licensor. Licensee will not be able to opt out of receiving these service announcements and administrative messages whilst using the Site and Services until Licensee sends Licensor a specific written notice requesting the termination of Licensee's subscription.
1.2 Licensee understands and agrees that the marking of marketing communications as spam may result in the restriction of any free Services and account deletion.

Licence Grant
2.1 Licensor grants Licensee a non-exclusive, non-transferable, limited licence to access and use the Site and Services in accordance with this Agreement.
2.2 Licensee shall not sublicence, sell, resell, transfer, assign, distribute, or otherwise commercially exploit or make available to any third party the Site or the Services.
2.3 All intellectual property rights in the Site, Services, and Materials remain the exclusive property of Licensor. Licensee is granted only the rights explicitly set forth in this Agreement.

User Accounts and Access
3.1 Licensee is responsible for maintaining the confidentiality of account credentials and for all activities that occur under Licensee's account.
3.2 Licensee agrees to notify Licensor immediately of any unauthorised use of Licensee's account or any other breach of security.
3.3 Licensor reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

Certification Process and Training Materials
4.1 Licensor will provide information regarding cyber security and related topics through the Site and Services ('Material'). Licensor does not guarantee the accuracy of the Material and makes no warranties about the Material. The Material is for informational and educational purposes only.
4.2 Licensor, where applicable, shall provide testing services for the Licensee for the purpose of certifying full knowledge and understanding of the Material ('Certification'). Licensor does not guarantee that Licensee will achieve Certification.
4.3 Certificates issued by Licensor represent completion of training and successful examination performance. They do not constitute professional accreditation unless explicitly stated and recognised by relevant industry bodies.

Virtual Labs and Practical Environments
5.1 Virtual labs are provided as-is and are subject to availability. Licensor reserves the right to modify or discontinue virtual lab environments at any time without prior notice.
5.2 Licensee agrees to use virtual labs solely for educational purposes and in accordance with all applicable laws and regulations.
5.3 Licensee shall not attempt to compromise, damage, or gain unauthorised access to any systems, networks, or data outside the scope of designated training exercises.

Payment and Refunds
6.1 Fees for Services are as stated on the Site at the time of purchase. All fees are non-refundable except as stated in section 6.4 below.
6.2 Licensor reserves the right to modify pricing at any time. Changes to pricing will not affect purchases already completed.
6.3 Licensee is responsible for all applicable taxes associated with the purchase of Services.
6.4 Refunds will only be provided if no course has been activated. Once a course has been accessed or activated, all fees become non-refundable. Any approved refund will be issued minus the transaction fee charged by the payment processor. To request a refund for an unactivated course, contact [email protected] within 14 days of purchase.

Prohibited Conduct
7.1 Licensee agrees not to:
- Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
- Interfere with or disrupt the integrity or performance of the Site or Services
- Attempt to gain unauthorised access to any portion of the Site or Services
- Share account credentials with unauthorised third parties
- Reproduce, duplicate, copy, sell, or exploit any portion of the Services without express written permission from Licensor
- Use automated systems or software to extract data from the Site without prior written consent

Limitation of Liability
8.1 In no event shall Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Licensee's access to or use of or inability to access or use the Services
- Any conduct or content of any third party on the Services
- Any content obtained from the Services
- Unauthorised access, use, or alteration of Licensee's transmissions or content
8.2 Licensor's total liability to Licensee for all claims arising out of or relating to this Agreement shall not exceed the amount paid by Licensee to Licensor in the twelve months preceding the claim.

Warranties and Disclaimers
9.1 The Services are provided 'as is' and 'as available' without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
9.2 Licensor does not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.

Indemnification
10.1 Licensee agrees to indemnify, defend, and hold harmless Licensor and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with Licensee's access to or use of the Services or violation of these Terms.

Termination
11.1 Licensor may terminate or suspend Licensee's access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms.
11.2 Upon termination, Licensee's right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Changes to Terms
12.1 Licensor reserves the right to modify or replace these Terms at any time. Material changes will be notified to Licensee via email or through a notice on the Site.
12.2 Licensee's continued use of the Services following notification of changes constitutes acceptance of the revised Terms.

Governing Law and Dispute Resolution
13.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
13.2 Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Entire Agreement
14.1 These Terms constitute the entire agreement between Licensee and Licensor regarding the use of the Services and supersede all prior agreements and understandings, whether written or oral.
